Terms, Student Acceptable Use Policy (AUP), and Service Level Agreement (SLA)

Edunile is a software product operated by PI Computing, a registered business name in the Federal Republic of Nigeria ("we," "us," "our").
PART I - TERMS AND CONDITIONS OF USE
These Terms and Conditions of Use ("Terms") govern access to and use of the Edunile platform ("Platform") by:
- Schools and School Administrators
- Teachers and Staff
- Parents and Guardians
- Students
- Any other authorized users
By accessing or using the Platform, you agree to be bound by these Terms.
1. Nature of the Platform
Edunile is a cloud-based School Management System designed to assist educational institutions in managing academic, administrative, and financial processes.
Edunile does not operate schools and is not responsible for academic decisions, grading policies, or institutional conduct.
2. Institutional Authority
Access to the Platform is granted through a subscribing School.
The School: - Determines who receives access - Assigns roles and permissions - Acts as the Data Controller for student and institutional data
Users access the Platform under the authority of their School.
3. User Accounts & Responsibilities
All users must:
- Provide accurate information
- Maintain confidentiality of login credentials
- Use the Platform only for legitimate educational purposes
- Comply with school policies and applicable laws
Users are responsible for all activity under their account. Unauthorized sharing of credentials is prohibited.
4. Acceptable Use
Users must not:
- Attempt unauthorized access to other accounts
- Reverse engineer or copy the Platform
- Upload malicious code
- Use the Platform for unlawful purposes
- Harass or misuse communication features
- Interfere with system security
Violation may result in suspension or termination.
5. Role-Specific Responsibilities
5.1 School Administrators
- Ensure lawful data collection
- Obtain required parental consent
- Manage access permissions responsibly
- Ensure compliance with data protection laws
5.2 Teachers & Staff
- Use student data only for authorized academic purposes
- Maintain confidentiality of student records
5.3 Parents & Guardians
- Use the Platform for lawful monitoring of their child's academic records
- Maintain account security
5.4 Students
- Use the Platform responsibly
- Not attempt to bypass system controls
6. Data Protection & Privacy
Personal data is processed in accordance with our Privacy Policy.
For school-uploaded data: - The School is the Data Controller. - PI Computing acts as Data Processor.
Users must direct data-related requests to their School where appropriate.
7. Payments (Where Applicable)
If schools use payment features:
- Payments are processed by third-party providers.
- Edunile does not store full card details.
- Transaction disputes must first be raised with the School.
8. Intellectual Property
All Platform technology, branding, and software are owned by PI Computing.
Users are granted a limited, non-exclusive, non-transferable license to use the Platform during authorized access.
No ownership rights are transferred.
9. Service Availability
We aim for reliable service but do not guarantee uninterrupted access.
We are not liable for downtime caused by:
- Maintenance
- Infrastructure failures
- Internet disruptions
- Third-party outages
- Force majeure events
10. Limitation of Liability
To the maximum extent permitted by law:
PI Computing shall not be liable for:
- Indirect or consequential damages
- Loss of data
- Loss of revenue
- Academic outcomes
- Institutional decisions
Total liability shall not exceed the subscription fees paid by the School in the 12 months preceding the claim.
11. Indemnification
The School agrees to indemnify and hold harmless PI Computing from claims arising from:
- Unlawful data upload
- Misuse of the Platform
- Violation of applicable laws
- Breach of these Terms
12. Suspension & Termination
We may suspend or terminate access for:
- Breach of these Terms
- Non-payment (for Schools)
- Illegal activity
- Security threats
Upon termination, data retention and deletion shall follow the Privacy Policy.
13. Amendments
We may update these Terms periodically. Continued use of the Platform constitutes acceptance of updated Terms.
14. Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes shall first be resolved amicably. If unresolved, disputes shall be submitted to arbitration in Nigeria before court proceedings.
PART II - STUDENT ACCEPTABLE USE POLICY (AUP)
Students agree to:
- Use the Platform only for educational purposes.
- Protect login credentials.
- Respect classmates and staff.
- Not attempt to bypass security controls.
- Not upload harmful or inappropriate content.
- Report suspected security issues.
Violations may result in suspension, disciplinary action, or legal action where applicable.
Schools are responsible for supervising student use.
PART III - SERVICE LEVEL AGREEMENT (SLA)

Service Availability
We target 99% monthly uptime excluding scheduled maintenance, force majeure events, third-party outages, and internet disruptions. -
Support Response Targets
Critical Issues: within 24 hours
High Priority Issues: within 48 hours
General Inquiries: within 3 business days -
Data Backup
We maintain regular encrypted backups. Schools may request data export within the defined retention period. -
Security Incident Response
Confirmed data breaches will be communicated without undue delay. Regulatory authorities will be notified where required by law. -
SLA Limitations
This SLA does not apply where issues arise from misuse, unauthorized configuration changes, third-party integrations, or external internet outages.
